Program Terms and Conditions — The Cow Lot

The Cow Lot (hereinafter, "We," "Us," "Our") is offering a mobile messaging program (the "Program"), which you agree to use and participate in subject to these Mobile Messaging Terms and Conditions and Privacy Policy (the "Agreement"). By opting in to or participating in any of our Programs, you accept and agree to these terms and conditions, including your agreement to resolve any disputes through binding, individual-only arbitration, as detailed in the "Dispute Resolution" section below. This Agreement is limited to the Program and is not intended to modify other Terms and Conditions or Privacy Policy that may govern the relationship between you and Us in other contexts.

User Opt In

The Program allows Users to receive SMS/MMS mobile messages by affirmatively opting in, such as through online or application-based enrollment forms. Regardless of the opt-in method you utilized, you agree that this Agreement applies to your participation. By participating, you agree to receive autodialed or prerecorded marketing mobile messages at the phone number associated with your opt-in, and you understand that consent is not required to make any purchase from Us. Message and data rates may apply.

User Opt Out

To stop participating in the Program, reply with any of the following keywords to any message from Us:

STOP
END
CANCEL
UNSUBSCRIBE
QUIT

You may receive one additional message confirming your opt-out. These are the only accepted methods of opting out. Verbally requesting removal or texting other words does not constitute a valid opt-out.

Duty to Notify and Indemnify

If you intend to stop using the mobile telephone number subscribed to the Program — including canceling your service plan or transferring the number to another party — you agree to complete the opt-out process above before ending your use of that number. Failure to do so means you accept responsibility for all costs and liabilities resulting from claims by individuals later assigned that number.

YOU AGREE THAT YOU SHALL INDEMNIFY, DEFEND, AND HOLD US HARMLESS FROM ANY CLAIM OR LIABILITY RESULTING FROM YOUR FAILURE TO NOTIFY US OF A CHANGE IN THE INFORMATION YOU HAVE PROVIDED, INCLUDING ANY CLAIM OR LIABILITY UNDER THE TELEPHONE CONSUMER PROTECTION ACT, 47 U.S.C. § 227, et seq., OR SIMILAR STATE AND FEDERAL LAWS, AND ANY REGULATIONS PROMULGATED THEREUNDER.

Message and data rates may apply. This is a recurring program; additional messages may be sent based on your interaction with Us.

Text HELP to the number you received messages from, or email info@thecowlot.com. Note: email is not a valid method of opting out — opt-outs must follow the procedure above.

MMS Disclosure

If your mobile device does not support MMS messaging, the Program will send SMS text messages (TMs) instead.

Disclaimer & Participant Requirements

Disclaimer of Warranty

The Program is offered on an "as-is" basis and may not be available in all areas at all times. We are not liable for delays or failures in receipt of mobile messages — delivery is subject to your wireless carrier and outside Our control. T-Mobile is not liable for delayed or undelivered mobile messages.

Requirements to Participate

You must own a wireless device capable of two-way messaging, use a participating wireless carrier, and be a subscriber with text messaging service. Not all cellular providers carry the necessary service — check your phone capabilities for specific text messaging instructions.

Age Restriction

Under 13 Not permitted to use or engage with the Platform under any circumstances.
Ages 13–18 Parental or legal guardian permission required to use or engage with the Platform.

By using or engaging with the Platform, you confirm you meet the applicable age requirements and that your use is permitted by your jurisdiction's applicable law.

Prohibited Content

You agree not to send any prohibited content over the Platform. Prohibited content includes:

Fraudulent, libelous, defamatory, scandalous, threatening, harassing, or stalking activity.
Objectionable content including profanity, obscenity, violence, bigotry, hatred, or discrimination on the basis of race, sex, religion, nationality, disability, sexual orientation, or age.
Pirated computer programs, viruses, worms, Trojan horses, or other harmful code.
Any product, service, or promotion that is unlawful where received.
Content implicating or referencing personal health information protected by HIPAA or the HITECH Act.
Any other content prohibited by applicable law in the jurisdiction from which the message is sent.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to this Agreement will be resolved by binding arbitration in Denver, Colorado before one arbitrator, to the fullest extent permitted by law.

Arbitration will follow the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). Key terms include:

Arbitrator Selection Parties jointly select an arbitrator with 5+ years of experience within 10 calendar days of the arbitration demand.
Individual Only No class arbitration. All disputes resolved solely on an individual basis.
No Punitive Damages The arbitrator has no authority to award punitive damages; each party waives such right.
No Jury Trial If a dispute proceeds in court rather than arbitration, both parties waive the right to a jury trial.

The decision of the arbitrator shall be final and binding. Fees are shared equally unless the arbitrator orders otherwise. This arbitration provision survives any cancellation or termination of your participation in the Program.

Miscellaneous

You warrant that you have all necessary rights and authority to agree to these Terms. The failure of either party to exercise any right herein shall not be deemed a waiver of further rights. If any provision of this Agreement is found unenforceable, it will be limited to the minimum extent necessary while the rest of the Agreement remains in full force. We reserve the right to update this Agreement at any time. By continuing to participate in the Program after any changes, you accept the Agreement as modified.
